أثر الالتزام بتطبيق مبادئ الحوكمة في أداء الشركات المُدرجة في سوق دمشق للأوراق المالية

Abstract

يهدف هذا البحث إلى تحديد درجة تأثير التزام الشركات المساهمة العامة السّورية المُدرجة في سوق دمشق للأوراق المالية بمبادئ حوكمة الشركات على أداء هذه الشركات خلال الفترة (2012-2016). ولتحقيق هذا الهدف، قام الباحث باستخدام المدخل المنهجي (الفرضي-الاستنباطي) (hypothetico-deductive approach) لصياغة فرضيات البحث، كما تم تحليل البيانات المالية المنشورة لجميع الشركات محل الدراسة، والبالغ عددها(24)  شركة. وقد أظهرت نتائج البحث وجود مستوى كاف من الالتزام بمبادئ الحوكمة، وكذلك أظهرت النتائج وجود أثر للالتزام بتطبيق مبادئ الحوكمة على جميع مؤشرات الأداء التي تناولتها الدراسة: القيمة السوقية المضافة (MVA)؛ ومؤشر Tobin’s Q؛ والعائد على الاستثمار (ROA)؛ والعائد على حقوق الملكية (ROE)؛ والعائد على السهم العادي (EPS). إن نتائج هذه الدراسة تقدم دليلاً عملياً للجهات التشريعية والمنظمة في سورية على ضرورة التأكيد على أهمية استمرار الشركات السّورية بالالتزام بتطبيق مبادئ الحوكمة لتأثيرها الواضح في حماية حقوق حملة الاسهم، وتوحيد الجهود نحو إيجاد مقياس موحد للحوكمة صالح للتطبيق في سورية، وكذلك ضرورة قيام هذه الجهات بتوعية المجتمع بأهمية الالتزام بمبادئ الحوكمة لضمان الممارسة الصحيحة لمبادئها.

This research aims to shed light on the impact of corporate governance on the performance of listed companies in Damascus Securities Exchange (2012-2016). To achieve this objective, the researcher used a hypothetical-deductive approach to formulate the hypotheses; and  analyzed the financial statements of all shareholding Syrians listed companies. Results indicate that, despite of the variation in applying corporate governance between listed companies, there is a sufficient level of commitment to the principles of corporate governance. As well as, the results showed that all performance indicators effected by corporate governance principles. The results of this study provides an empirical evidence to policy makers and regulators in Syria to emphasize the importance of the continuation of Syrian companies to abide by the applying of the principles of corporate governance; as well as the need to find a unified measure corporate governance can be applied in Syria; and at the same time the need to educate the public concerning corporate governance.
